By engaging HMD Change Technology, LLC for technology change management, digital transformation, cloud migration, or IT consulting services, the Client accepts these foundational terms. HMD Change Technology, LLC agrees to apply its methodologies, qualified personnel, and tooling to deliver the mutually agreed-upon statement of work. All deliverables — including plans, architectures, implementations, and documentation — will be produced in accordance with industry best practices.
Technology change is an iterative process. While HMD Change Technology, LLC commits to agreed milestones and delivery dates, certain activities — such as third-party platform provisioning, vendor approvals, security reviews, and stakeholder sign-offs — depend on factors outside our direct control. The Client understands that delivery timelines may be affected by such dependencies and will collaborate in good faith to keep the project on track.
The Client is responsible for the timely payment of consulting fees and any agreed retainers per the billing terms set out in the engagement agreement. HMD Change Technology, LLC is not responsible for advancing funds for third-party software licenses, cloud consumption, or vendor services. Such costs must be paid directly by the Client to the relevant providers, unless a written arrangement is agreed in advance.
Upon full settlement of all outstanding invoices for an engagement, ownership of project-specific deliverables — such as custom documentation, configurations, and tailored implementation assets — transfers to the Client. HMD Change Technology, LLC retains ownership of its underlying methodologies, frameworks, reusable scripts, and general tooling developed and applied during the engagement.
